Transaction Information
On May 7, 2025, Nature’s Miracle Holding Inc. (OTCQB: NMHI) (“Nature’s Miracle” or the “Company”), a growing agriculture technology company providing products and services to growers in the Controlled Environment Agriculture (“CEA”) industry in the U.S., announced that the Company has entered into an equity purchase financing agreement (the “Financing”) with GHS Investments LLC (“GHS” or “Investor”). The Company can require that the Investor invest up to Twenty Million Dollars ($20,000,000) to purchase the Company’s shares of common stock, $0.0001 par value per share (“Common Stock”) over the course of twenty-four (24) months immediately following the effective date of the registration statement to be filed with the Securities and Exchange Commission (“SEC”) in connection with the Financing, subject to the terms and conditions specified in the agreement. The Company issued 1,503,759 shares of Common Stock to the Investor in consideration for the Financing. In addition, the Investor made a $250,000 investment in the Company’s Series A shares of preferred stock (the “Series A Shares”), which shares are convertible into shares of Common Stock at a conversion price of $0.112 per share. The Company will be filing a registration statement to register all of the foregoing securities, and will file an 8-K providing additional information about the foregoing transactions.
